Terms of Service

1. Acceptance of Terms

By accessing and using NEEDA ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

You must be at least 18 years old to create an account and use the Service.

2. Service Description

NEEDA is a peer-to-peer marketplace that connects people who want to borrow items ("Borrowers") with people who want to rent out their items ("Renters"). We facilitate transactions but are not responsible for the items listed or the conduct of users.

The Platform charges a 25% platform fee on each transaction to maintain and improve our services.

3. User Responsibilities

3.1 For Renters

• Provide accurate descriptions and photos of items
• Ensure items are in the condition stated
• Make items available for pickup/delivery as agreed
• Inspect items upon return and report damage within 24 hours
• Maintain appropriate insurance for your items

3.2 For Borrowers

• Use items with reasonable care
• Return items on time and in the same condition
• Report any damage or issues immediately
• Pay for any damage caused during rental period
• Not sublease or transfer items to third parties

4. Payment Terms

Authorization Hold: When you book an item, your payment method will be authorized (not charged) for the rental amount. The charge will only be captured after you confirm receipt of the item.

Pricing: Standard rental rate is 50% of the item's market value for a 3-day period. Additional days are prorated at the daily rate.

Late Fees: Late returns incur a daily fee of 15% of the item's market value per day. Items not returned after 7 days will be considered purchased at market value, with ownership transferred to the borrower.

Platform fee (25%): 25% of the total transaction amount is retained by NEEDA. Renters receive 75% of the rental price.

5. Item Condition and Damage

Borrowers are responsible for any damage that occurs during the rental period, excluding normal wear and tear. Disputes regarding damage will be resolved through photo evidence and communication between parties.

NEEDA may mediate disputes but is not liable for resolution or compensation.

6. Assumption of Risk and Limitation of Liability

6.1 Platform Role and Disclaimer

NEEDA acts solely as a platform connecting Item Owners and Borrowers. We are an intermediary marketplace and do not:

• Own, inspect, verify, or control items listed on the platform
• Guarantee the quality, safety, functionality, or legality of items
• Guarantee user conduct, identity verification, or transaction completion
• Provide insurance coverage for items, users, or third parties
• Supervise or monitor the use, handling, or condition of rental items

6.2 Assumption of Risk by Borrowers

By booking and using any item through NEEDA, Borrowers explicitly acknowledge and assume all risks associated with:

• Personal Injury or Death: Use of tools, equipment, and other items carries inherent risks including but not limited to injury, disability, or death
• Property Damage: Damage to your property, vehicle, or other belongings
• Item Malfunction: Defects, malfunctions, or undisclosed issues with rented items
• Improper Operation: Risks from improper handling, operation, or use of items
• Third Party Claims: Claims or damages involving third parties during item use

YOU USE ALL ITEMS AT YOUR OWN RISK. NEEDA is not responsible for any injury, damage, or loss arising from your use of rental items, regardless of cause.

6.3 Owner Representations and Responsibilities

By listing an item, Owners represent and warrant that:

• The item is functional, safe, and in the condition represented
• All photos and descriptions are accurate and current
• The item complies with all applicable laws and safety standards
• They have disclosed all known defects, limitations, or safety concerns
• They possess all necessary rights to rent the item

Owners are solely responsible for: maintaining item safety, providing accurate information, maintaining appropriate insurance, and all liabilities arising from their items.

6.4 Maximum Liability Cap

IN NO EVENT SHALL NEEDA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE PLATFORM FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.

6.5 Exclusion of Consequential Damages

NEEDA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification and Hold Harmless

7.1 User Indemnification

You agree to indemnify, defend, and hold harmless NEEDA, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Platform or any rental items
• Your violation of these Terms of Service or any applicable law
• Your violation of any rights of another person or entity
• Any injury, death, or property damage arising from items you list or rent
• Any disputes between you and other users
• Any inaccurate or misleading information you provide
• Your negligence or willful misconduct

7.2 Borrower-Specific Indemnification

Borrowers specifically agree to indemnify and hold harmless NEEDA from:

• All claims for personal injury, death, or property damage arising from use of rental items
• Claims by third parties injured or damaged during your use of rental items
• Medical expenses, legal fees, and settlements related to injuries during rental period
• Any liability arising from improper operation, maintenance, or handling of items

7.3 Owner-Specific Indemnification

Item Owners specifically agree to indemnify and hold harmless NEEDA from:

• All claims arising from defects, malfunctions, or unsafe conditions of their items
• Claims resulting from inaccurate descriptions or failure to disclose defects
• Product liability claims related to items they list
• Any failure to maintain items in safe, functional condition

7.4 Defense of Claims

NEEDA reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with NEEDA in the defense of any such claims.

8. Prohibited Activities

Users may not:

• List illegal, stolen, or counterfeit items
• Engage in fraudulent activities
• Harass, threaten, or abuse other users
• Manipulate ratings or reviews
• Circumvent platform fees or payment systems
• Use the platform for commercial rental businesses without authorization

9. Account Termination

NEEDA reserves the right to suspend or terminate accounts that violate these Terms of Service, engage in prohibited activities, or pose risks to the platform or other users. Users may also close their accounts at any time.

10. Dispute Resolution

Users agree to first attempt to resolve disputes directly with each other. If resolution cannot be reached, disputes may be escalated to NEEDA for mediation. Any legal disputes will be governed by the laws of the jurisdiction where NEEDA is registered.

11. Privacy

Your privacy is important to us. By using NEEDA, you agree to our collection and use of personal information as described in our Privacy Policy. We will never sell your personal data to third parties.

12. Changes to Terms

NEEDA reserves the right to modify these Terms of Service at any time. Users will be notified of significant changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the new terms.
